Terms of Service

These Terms of Service ("Terms") govern your access to and use of Udala, a product of Ide8tech Ltd ("Company", "we", "us"). By creating a workspace or accessing the Udala platform, you agree to these Terms.

1. The Service

Udala is a multi-tenant SaaS enterprise resource planning platform ("Service") that allows businesses to manage finance, HR, payroll, CRM, inventory and other business functions from a single interface.

The Service is provided on a subscription basis. Features available to you depend on your plan (Starter, Growth or Enterprise).

2. Eligibility

You must be at least 18 years of age and have authority to bind the business entity you register on Udala. By accepting these Terms, you represent that you meet these requirements.

3. Accounts and workspaces

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account and workspace.
• You must notify us immediately at security@udala.africa if you suspect unauthorised access.
• Workspace slugs (subdomains) are permanent once created and cannot be changed.

4. Acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Upload or transmit malware, viruses or malicious code
• Attempt to gain unauthorised access to any other tenant's data or any Udala systems
• Reverse-engineer, decompile or attempt to extract source code from the Service
• Use the Service to send unsolicited commercial communications
• Resell or sublicense the Service without our written consent
• Circumvent any rate limits, access controls or security measures

5. Your data

You retain full ownership of all data you enter into Udala ("Customer Data"). By using the Service, you grant us a limited licence to store, process and display your Customer Data solely for the purpose of providing the Service to you.

We do not claim ownership of your Customer Data, sell it, or use it for any purpose other than operating the Service. See our Privacy Policy for details.

6. Payment and billing

• Subscription fees are billed monthly or annually in advance, depending on your billing cycle selection.
• All prices are displayed in your chosen currency and are inclusive of applicable taxes where required by law.
• Failed payments result in a grace period of 7 days before service suspension.
• Annual subscriptions are non-refundable after 14 days. Monthly subscriptions are non-refundable.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

7. Free trial and waitlist

Where a free trial is offered, it begins on the date your workspace is created. No credit card is required during the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

Waitlist members who join before launch receive 3 months free on the Growth plan, as specified at the time of signup. This offer is non-transferable and limited to one workspace per email address.

8. API and integrations

Access to the Udala REST API is included on Growth and Enterprise plans. You agree to:

• Keep API keys confidential and rotate them immediately if compromised
• Respect rate limits as documented in the API Reference
• Not use the API to scrape or extract data in bulk for purposes outside your own business operations

9. Uptime and support

We target 99.9% monthly uptime, excluding scheduled maintenance windows (communicated 48 hours in advance via the status page at status.udala.africa).

Support response times by plan:

• Starter: Email support, response within 48 business hours
• Growth: Email + chat support, response within 24 business hours
• Enterprise: Priority support, dedicated account manager, 4-hour response SLA

10. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with the Service. This obligation does not apply to information that becomes publicly available through no fault of the receiving party, or that must be disclosed by law.

11. Intellectual property

The Udala brand, software, documentation and all related intellectual property are owned by Ide8tech Ltd. These Terms do not grant you any rights to our intellectual property except the limited licence to use the Service as described herein.

12. Termination

You may cancel your subscription at any time from Settings → Billing → Cancel Plan. Your access continues until the end of the current billing period.

We may suspend or terminate your account if:

• You breach these Terms and fail to remedy the breach within 7 days of notice
• You engage in fraudulent activity
• We are required to do so by law

Upon termination, your data is retained for 30 days and then permanently deleted, unless you request immediate deletion.

13. Limitation of liability

To the maximum extent permitted by applicable law, Ide8tech Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you in connection with the Service shall not exceed the fees paid by you in the 12 months preceding the claim.

14. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free or free of viruses.

15. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, Nigeria, except where mandatory consumer protection laws in your jurisdiction require otherwise.

16. Changes to these Terms

We will notify active subscribers by email at least 30 days before any material changes to these Terms. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
